General meeting on 27 March 2020
The Company has convened a general meeting for 10 a.m. on Friday 27 March 2020 at the offices of Fladgate LLP, 16 Great Queen Street, London WC2B 5DG ("General Meeting") in connection with its proposed purchase of OTAQ Group Limited and related matters.
The Government's announcement on 23 March 2020 of a lockdown in connection with the COVID-19 virus and, in particular, the restrictions on leaving the home and on mass gatherings will impact the ability of shareholders to attend the General Meeting. On this basis, the Board believes that it is appropriate to strongly advise shareholders against attending the General Meeting in person and, instead, to submit proxy votes.
Shareholders are urged to submit their proxy votes to Share Registrars Limited as soon as possible and in any event by no later than 10.00 a.m. on Wednesday 25 March 2020. Please note that if you have not already posted your form of proxy the completed form of proxy can be scanned and emailed [email protected], to arrive prior to 10.00 a.m. on Wednesday 25 March 2020.
The Board has resolved in accordance with article 69 of the Company's articles of association to hold the General Meeting in more than one place in the expectation (if shareholders follow Government orders) that there will be no more than one member or a proxy for a member in each place (thus forming a quorum for the meeting as there will be appropriate audio-visual communication between the two meeting places). The other meeting place designated by the directors is Barton House, Guiting Power, Cheltenham GL54 5UF.
